Job Duties

·         Contract Management - Independently drafting, negotiating and finalizing different kinds of agreements for cross-functional teams including agreements for HR functions, IT, procurement, sales, operational agreements, real estate, banking, marketing, EPC, joint ventures and distributorship.

·         Drafting of Promotion Agreements, Confidentiality Agreements, Trademarks Licensing Agreement, Leave and License Agreements, Lease Deeds, Cross reference Agreements, C&F Agreements, Contract Manufacturing Agreements, Endorsement Agreements etc;

·         Drafting legal documents

·         Guiding managers on regulatory and compliance matters

·         Analyzing legal issues relating to proposed products

·         Providing supervision to outside lawyers hired to assist the corporation with their specialized legal services

·         Structuring joint enterprises with other organizations

·         Negotiating employee contracts

·         Preparing and filing government reports

·         Proper Records of Company, Register of Ownership, Registration Updates job knowledge by participating in educational opportunities; reading professional publications

Sr. Manager – Indirect Taxation - Mumbai - India

The Role: Impact & Contribution

• Indirect Taxation currently has only 2 employees & is understaffed given the spread of the group in terms of entities & the laws covered. This role was recommended & approved by director when the Finance Vision & Strategy was presented in August 2016
• We also have the GST implementation underway and this further establishes the need for an experienced senior manager.
• The position will be jointly responsible for handling the ongoing cases under all the indirect tax laws (Excise Duty, VAT & Service Tax) & any future assessments across the group companies
• The position will also be responsible along with the Head Indirect Taxation for the smooth roll out of GST across all group companies

Job Responsibilities:

• Actively partner with the Head Indirect Taxation for the compliance across the group with respect to Indirect Taxation
• Personally coordinate with the operating companies including the Finance Managers & relevant staff of the operating companies and ensure that there is 100% compliance and within the timelines prescribed for the same by the relevant laws & bodies.
• Personally do the compliance work for the holding & non-operating companies in the Our Client Group.
• Set up and implement an internal reporting system which provides periodical status on compliance by all entities, including actions to be taken for delays or misses
• Proactively scan the indirect taxation landscape, recommend & jointly implement with the operating companies tax planning & compliance.

Finance & Accounting:-

·         Strategic Finance: Responsible for giving timely Financial budgets, finance planning, Treasury operations, Long term & Short term financing and actual financials to Advisory Board. Responsible for banking relationship and control of receivables. 

·         Accounting: Streamlining of accounting, Finalization of accounts, periodic balance sheet and P & L Account preparation.

·         Cash Flow Management – Manage cash flow and have proper planning to control USD and CDF for optimize gain and reduce charges. 

·         Taxation: Income Tax – Planning, monitoring, compliance and timely filing of returns. To ensure timely accurate reporting along with past data review. Responsible to questions all heads when no movement is observed. Knowledge and involvement with local tax system and all costs.

·         Management Accounting & MIS: Develop and implementation of cost accounting system, periodic generation of MIS, monitoring and improvements.

·         Corporate Governance: Design and implementation of suitable monitoring and reporting systems 

Operational Responsibility:

·         Asset Utilization - Assure efficient utilization of cylinder assets by monitoring and controlling stocking levels at all branches within region. Where necessary, accommodate cylinder needs through excess cylinder stock or by creating a capital investment.

·         Optimize vehicle and production equipment utilization within region by monitoring distribution volumes/routes and recommending/implementing improvements or consolidations.

Monitor and recommend investments related to cylinders, vehicles, forklifts, production equipment, facility related items and others as per management guidelines
